1. SERVICES

The Company provides consulting and advisory services including, but not limited to:

• Hospitality and members club concept development 
• Brand strategy and naming 
• Operational consulting and launch planning 
• CRM selection, implementation, migration, and optimization 
• Vendor selection and introductions 
• Membership strategy and program design 
• Website advisory and digital strategy 
• Hiring, organizational, and operational advisory 
• Subscription-based consulting and ongoing advisory 

Services may be provided via subscription, retainer, project-based engagement, or custom agreement.The Company provides advisory and implementation support but does not operate Client’s business.

2. PAYMENT TERMS

Subscription Services are billed in advance on a recurring basis. Payment must be received before Services begin.

Project engagements may require full upfront payment or milestone-based payments, including a non-refundable deposit.

Failure to pay may result in suspension or termination of Services.

All fees are non-refundable except where explicitly agreed in writing.

3. NO REFUNDS

All payments are non-refundable once Services have commenced. If Client cancels prior to the start of Services, refunds may be issued at the Company’s sole discretion. Subscription fees are non-refundable for the current billing period.

4. SUBSCRIPTION TERM AND CANCELLATION

Subscription Services require minimum commitments depending on engagement level:

• Standard engagements: minimum one (1) month commitment 
• Extended engagements: minimum six (6) month commitment 

Client may cancel future billing periods by providing written notice.

5. INTELLECTUAL PROPERTY AND OWNERSHIP

Upon full payment, Client and company owns the final deliverables created specifically for Client.
The Company retains ownership of proprietary methodologies, frameworks, templates, tools, and processes.Client receives a non-exclusive license to use Company Materials solely for internal business use.

6. CLIENT RESPONSIBILITIES

Client represents that all information provided is accurate and lawful.
Client remains responsible for business decisions and implementation outcomes.

7. NO GUARANTEE OF RESULTS

The Company does not guarantee business success, revenue generation, operational performance, or membership acquisition.

8. THIRD-PARTY SERVICES

The Company may recommend third-party vendors or software.
The Company is not responsible for third-party performance or outcomes.

9. CONFIDENTIALITY

The Company agrees to maintain confidentiality of Client information.
Client agrees not to disclose proprietary Company methodologies.

10. LIMITATION OF LIABILITY

The Company shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the amount paid in the preceding three (3) months.

11. GOVERNING LAW

This Agreement shall be governed by the laws of the State of California.
Disputes shall be resolved in Los Angeles County, California.
